1. Acceptance of Terms
By engaging in business with RS Elite Group, including placing an order, accessing our website, or using our services, you agree to be bound by the following terms and conditions. These Terms apply to all clients, partners, and users. Please read them carefully. If you do not agree to these Terms, you may not use our services.
2. About Us
RS Elite Group is a merchant exporter based in Bangladesh, specializing in the export of GMP-standard quality products. Our registered office is located in Dhaka, Bangladesh.
3. Products and Quotations
a) Product Information: We are committed to providing accurate and up-to-date information on all our products. Please be aware that product descriptions and specifications may occasionally change based on product availability or other factors. Should any such changes affect your potential order, we will notify you with full details for your confirmation before proceeding.
b) Quotations: All quotations provided by RS Elite Group are valid for a specified period as mentioned in the quotation. If no period is specified, the quotation is valid for fourteen (14) days from the date of issue. Quotations are subject to change based on market conditions and availability.
4. Orders, Payment, and Delivery
a) Order Confirmation: All orders are subject to acceptance and confirmation by RS Elite Group. An order is considered confirmed only upon our written acceptance or the issuance of a Proforma Invoice.
b) Standard Mode of Payment: Our standard payment terms are one of the following, to be agreed upon at the time of order confirmation:
Letter of Credit (LC): Through an irrevocable (and 100% confirmed, if required) Letter of Credit, with 100% payable at sight.
Telegraphic Transfer (T.T.): By T.T. with a 30% prepayment required upon order confirmation. The balance of 70% is to be paid via T.T. within five (05) working days from the date of the Bill of Lading (BL).
Note: Advance Prepayment is Required for all orders to confirm and process your shipment.
c) Standard Delivery Terms: Our standard delivery terms are as follows:
Incoterms: CFR (Cost and Freight) or FOB (Free on Board), as agreed upon.
Lead Time: Delivery will be made within 7-45 days, commencing from the date of our receipt of a workable LC or the T.T. prepayment. This lead time is an estimate and may vary based on the product, order size, and shipping schedules.
d) Title and Risk: For FOB shipments, the risk of loss or damage to the goods passes to the buyer once the goods are on board the vessel nominated by the buyer. For CFR shipments, the risk passes to the buyer once the goods are on board the vessel at the port of shipment. Title to the goods shall pass to the buyer only upon receipt of full payment by RS Elite Group.
5. Quality and Inspection
RS Elite Group is committed to exporting products that meet GMP standards and other agreed-upon specifications. Buyers may arrange for a pre-shipment inspection (PSI) by a reputable international inspection company (e.g., SGS, AQM BD) at their own expense. The time and place of inspection must be mutually agreed upon.
6. Intellectual Property
To the fullest extent permitted by law, RS Elite Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- a) your use of, or inability to use, our services;
- b) any unauthorized access to or use of our servers and/or any personal information stored therein; or
- c) loss of or damage to goods after risk has transferred to the buyer, as defined by the agreed-upon Incoterms® rule (e.g., FOB, CFR) for the specific shipment.
Our total liability for any direct claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific order in question.
7. Limitation of Liability
To the fullest extent permitted by law, RS Elite Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- a) your use of, or inability to use, our services;
- b) any unauthorized access to or use of our servers and/or any personal information stored therein; or
- c) loss of or damage to goods after risk has transferred to the buyer, as defined by the agreed-upon Incoterms® rule (e.g., FOB, CFR) for the specific shipment.
Our total liability for any direct claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific order in question.
8. Force Majeure
RS Elite Group shall not be liable for any failure or delay in performance under these Terms resulting from acts or events beyond its reasonable control, including but not limited to acts of God, Earthquakes, floods, war, terrorism, riots, embargoes, acts of civil or military authorities, sudden government actions, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
9. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any dispute arising from the business relationship shall be settled amicably. If an amicable settlement cannot be reached, the dispute shall be referred to and finally resolved by arbitration in Dhaka, Bangladesh, in accordance with the rules of the Bangladesh Arbitration Act, 2001.
10. Amendments
We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to our website. Your continued business relationship with us after such changes constitutes your acceptance of the new Terms.
